There is no “one size fits all” governance product, so each of our reviews are bespoke, appropriately tailored to your aims and outputs. Examples of our recent work include:
- A high level review of the organisation against sector best practice (for example, the Charity Governance Code)
- A deep dive review of certain principles of the governance code – popular areas include “board effectiveness” or “risk, decision making and control”
- Reviewing an outdated constitutional structure (are all committees/councils/working groups needed?) or considering the organisation’s future structure due to key changes (growth, objects, international focus)
- Undertaking a review of and updating the associated governance documentation to aid efficiency (terms of reference, matters reserved for the board, job roles/descriptions)

What are the principles and values that underpin a governance review by Kingston Smith?
As a starting point we will explore the principles and concepts set out by the Charity Governance Code and consider how these are interwoven into the way that your organisation operates. In line with the code, we will consider:
- Organisational purpose – clarity and understanding of the charity’s aims
- Leadership – strategic leadership by the board in line with the charity’s aims and values
- Integrity – commitment of the trustees to act in line with appropriate values, with awareness of public trust and confidence
- Risk and effective decision-making – commitment to decision-making processes which are informed, rigorous and timely, with appropriate consideration of risk and control
- Board effectiveness – working as an effective team with an appropriate balance of skills, experience and knowledge
- Diversity – embracing different perspectives, experiences and skills
- Openness and accountability – demonstrating transparency, to earn trust and “legitimacy”.
These principles build on the premise that the charity ensures that relevant legal and regulatory responsibilities are met. We will also refer to the six main principles outlined in the Charity Commission’s “Essential Trustee” guidance (CC3).
Are there any gaps or uncertainties?
- Through our discussions and documentation review, we will seek to identify good practice, and evidence thereof, while understanding where there may be pressure points, gaps or scope for further clarity
- We will consider whether there are any areas which could benefit from additional focus and / or clearer alignment to the principles of the code. For example, this may be in relation to a refocus of certain governance processes to ensure greater transparency, less duplication, increased efficiency or more effective decision-making etc.
Governance review output
- We will provide, and present to those charged with governance, a report which outlines the organisation’s current application of the Charity Governance Code; including areas of current strength coupled with potential development points and areas for improvement
- We will suggest potential areas of amendment to the current strategic and operational structure of the organisation
- We will draw on our knowledge of sector best practice and, where appropriate, put forward further suggestions for your consideration. We will share a number of Kingston Smith publications, toolkits and workshops to enable your organisation to consider its governance structure further.
